"At any General Meeting a resolution put to the vote of the meeting shall be decided by a show of hands unless a poll is demanded by the chairman of the meeting or by at least one third of Members present and entitled to vote and voting. If a poll is demanded as aforesaid it shall be taken in such manner as the chairman of the meeting directs. In addition to his own vote, the chairman of the meeting shall have a second or casting vote in case of an equality of votes. Voting by proxy shall not be allowed."

 

Mr. Penaloza expresses his regret that: "as I was the Chairman of the meeting, I had the power to demand to conduct voting by secret ballot. Such demand should have been made public on the day of the meeting, but I regret that I had inadvertently forgotten to make such a demand in public as regards to any wish, either mine or the majority of those present at the EGM, to conduct the voting by secret ballot. I accept responsibility and apologize for this inadvertent oversight of the proper procedures of the EGM."
